Determining the value of your company is an issue many business owners face. During this workshop, the speakers will identify key issues business owners should be aware of, including the following:


1. What to look for in a business appraiser (credentials)

2. Defining the purpose of a business appraisal (SEC compliance, financing, financial reporting, dissolution, divorce, gift taxes, estate taxes, employee stock ownership plans)

3. Standards of value (fair market value, statutory fair value, fair value for financial reporting, investment value)

4. Levels of value (control, noncontrolling, and the continuous spectrum between the two)

5. Discounts for lack of control

6. Discounts for lack of marketability

7. Different measures of economic income and matching them to the appropriate discount rate or market multiple

8. Selecting a discount rate or market multiple

9. The impact of growth on value

10. How a business appraiser's value may differ from a broker's or investment banker's.

11. Issues with buy/sell agreements

About the presenters:



Chris Treharne is Managing Director of Gibraltar Business Valuations in Longmont, Colorado, and has been practicing as a business appraiser for more than 26 years. He has earned the Accredited Senior Appraiser, Master Certified Business Appraiser, and Certified Valuation Analyst business valuation designations from the American Society of Appraisers, The Institute of Business Appraisers, and the National Association of Certified Valuation Analysts, respectively.

Having prepared numerous presentations and authored papers on S corporation valuation issues, Chris is nationally recognized as an expert on the topic. At the request of the Hon. David Laro of the U.S. Tax Court and Dr. Shannon Pratt, he co-authored a chapter on the topic in their book, Business Valuation and Taxes: Procedure, Law & Perspective. His S corporation valuation model also appears in Financial Valuation Models and Applications Third Edition and Fannon's Guide to the Valuation of Subchapter S Corporations. A white paper he co-authored was presented to the Treasury Department by the S Corporation Association, and he has co-hosted national teleconferences on the subject, including a private program for IRS business valuation employees.



Ian Netherton works with emerging businesses helping them navigate the complexity of their growth. His background and expertise span tax, financial reporting, valuation and advisory services. He serves as an adjunct finance officer for several early growth corporations. He is presently also a member of a local business valuation firm which serves clients across the nation. Before his consulting career, Ian managed the capital analysis for a large travel and luxury company. Ian started his career in public accounting primarily in a tax capacity.

Ian is a Certified Public Accountant as well as a Chartered Global Management Accountant. Ian is also Accredited in Business Valuation by the AICPA. He graduated from the University of Phoenix with dual degrees in Accounting and Management. He is presently a member of the AICPA and the Rockies Venture Club.
